Responsibilities (Include but Not Limited To)

  • Drafting and reviewing PE/VC transaction documents, including Share Subscription Agreements, Shareholders’ Agreements, and Share Purchase Agreements.
  • Drafting and reviewing Founder Agreements, Joint Venture Agreements, and various Commercial Agreements, such as Supply Agreements, Franchise Agreements, Loan Agreements/Security Agreements, Partnership Agreements, Service Agreements, and Distributor Agreements.
  • Independently handling legal due diligence and conducting negotiations with opposing parties/counsel.
  • Experienced in the regulatory framework under the Companies Act and FEMA while providing transaction advisory services.
  • Hands-on experience in handling Private Equity/ Venture Capital transactions.
  • Knowledge of FEMA, Companies Act, 2013, other corporate laws and analytical ability to review the Agreement.
  • Ability to draft transaction agreements based on the discussion and requirements of the transactions.
  • Ability to research various legal provisions and effectively incorporate them while advising clients, undertaking transactions, and drafting legal documents.
  • Ability to effectively coordinate with external stakeholders and work towards closure of the tasks.
  • Processing/assisting of due diligence of the company.
  • Work experience on JVs/ mergers/ demergers/ international transactions etc.

  • Good grasp of commercial laws, regulations, and legal concepts.
  • Excellent written and oral communication skills, including clear and concise drafting.

  • Ability to handle multiple tasks.

Qualification(s) Required

  • Law degree from a reputed institute or law school, preferably with a Company Secretary (CS) qualification.

Minimum Experience Required

  • 4-5 years of post-qualification experience in the specified areas
